东电检测技术服务（天津）有限公司通用商务条款

Article 1 Applicability

一.适用性

These General Terms and Conditions shall apply to all agreements with Dongguan Dongdian Testing Service Co., Ltd. (hereinafter referred to DDT) and the subsidiary to perform assessment or have assessments performed of products, testing and certification, as well as professional skills of persons and certification services rendered by or on behalf of DDT. These General Terms and Conditions shall apply unless the parties have expressly otherwise agreed in writing.

这些一般条款和条件适用于所有东莞市东电检测技术有限公司及子公司（以下文中简称东电检测）的协议，包括执行评估产品性能、检测、认证服务，以及由东电检测或代表东电检测的人员专业技能和认证服务。 除非双方明确另有书面约定，否则这些一般条款和条件均适用。

The party who has requested DDT to render assessment and/or certification services intended herein is hereinafter referred to as “the Other Party”.

请求东电检测进行评估和/或认证服务的一方在下文中称为“另一方”。

Article 2 Validity of quotations

二.报价有效性

If any quotation submitted by DDT does not state the term of validity, this term shall be a period of sixty days.

东电检测提交的报价(技术服务合同)如未说明有效期，则期限为60天。

Article 3 Effectuation of the agreement

三.协议实施

A quotation submitted by DDT shall result in an agreement to perform assessment services only if the Other Party has accepted such quotation in writing within its term of validity, or if DDT has confirmed in writing an order of the Other Party.

东电检测提交的报价只有在另一方在其有效期内以书面形式接受此类报价，或者东电检测已经书面确认另一方的订单时，才能达成协议以执行评估服务。

Article 4 Delay of the order

四.订单延迟

In the event of delay in or prolongation of the services agreed upon, DDT shall have the right to charge the Other Party for any additional expenses incurred, if no blame for such delay or prolongation can be attributed to DDT employees or to any persons involved in the performance of the services by order of DDT.

在延迟或延长所商定的服务情况中，如果延迟或延长责任不归咎于东电检测的员工或由东电检测任命的参与认证服务的人员，则东电检测有权向另一方收取任何额外费用。

Article 5 Rates and payments

五.价格和付款

The rates agreed upon will be include by Value Added Tax and any other taxes connected with the services to be performed by DDT and for which DDT is responsible.

商定的价格将包含增值税以及与东电检测执行服务相关的任何其他税收。

In the event that the Other Party requests a reassessment due to the incompleteness or inadequacy shown by the assessment, or for any other reason, the Other Party shall be charged separately for the costs thereof.

如果另一方因评估所示的不完整性或不充分性或任何其他原因而要求重新评估，则应另行收取另一方费用。

Payments shall be made within thirty days from the date of invoice. Possible complaints concerning the invoice shall be lodged within that term, but shall not lead to suspension of the obligation to pay.

付款应在发票日期起三十天内完成。 关于发票的可能投诉应在该期限内提出，但不得耽误支付。

In the event that the Other Party fails to effect payment within the term stated, the Other Party shall owe DDT interest on the sum still due at a rate equal to the CNY basic interest increased by two percent, starting on the due date and ending on the date of payment.

如果另一方未能在规定的期限内支付款项，另一方应按照东电检测的利息支付本金和利息，其利率相当于人民币基本利息增加2％，利息从付款到期日开始计算直到付完全款截止。

In the event that DDT takes measures for the recovery of debts or for the maintenance of its other rights in respect of the Other Party, the Other Party is bound to indemnify all expenses incurred by DDT to this end. These expenses shall include all payments made to third parties called in for the execution of such measures and all expenses incurred by DDT within its own organization, which may reasonably be attributed to the said measures.

如果东电检测采取措施追回债务或维护其他方的其他权利，则另一方有义务为此向东电检测产生的所有费用进行赔偿。 这些费用应包括为执行此类措施而向第三方支付的所有款项以及东电检测在其机构内产生的所有费用，这些费用可合理地归因于上述措施。

Prior to the (further) execution of orders, DDT is at all times entitled to require sufficient security to be furnished by the Other Party for its obligations towards DDT Certification.

在（进一步）执行订单之前，东电检测始终有权要求另一方提供足够的安全保障，以履行其对东电检测的义务。

Article 6 Cooperation by the Other Party

六.另一方参与合作

The Other Party shall, at its own cost (including shipping costs), make available to DDT any and all materials, information and data required by DDT to perform the assessment services agreed upon.

另一方应自费（包括运输费用）向东电检测提供东电检测所要求的任何和所有材料、信息和数据，以执行商定的评估服务。

Samples will be destroyed after the performance of the assessment, unless the Other Party has made a prior request in writing to return the same at its own cost.

评估完成后样品需被销毁，除非另一方事先提出书面请求以自费方式退回样品。

The Other Party shall allow DDT access to the appropriate production locations and shall ensure the security of the persons concerned.

另一方应允许东电检测进入适当的生产地点，并应确保相关人员的安全。

In the event that continuation of DDT’s accreditation requires third-party witnessing of DDT’s assessments, the Other Party shall lend its full cooperation thereto.

如果延续东电检测的认证要求第三方见证东电检测的评估，则另一方应随时与其充分配合。

Article 7 Reports and certification

七.报告与证书

DDT shall submit to the Other Party a written report of the results of the assessment performed.

东电检测应向另一方提交评估结果的书面报告。

The contents of the reports, exhibits, certificates and/or letters originating from DDT may be published only if reproduced word for word, in their entirety and in the language in which they were written.

东电检测的报告、展品、证书和/或信件的内容，保证逐字不减、完整地以及使用原编写语言发布。

Unless DDT has expressly granted the Other Party the right to use a certificate, certification mark and/or an attestation of conformity, the Other Party shall not in any manner suggest to third parties that there has been certification by DDT.

除非东电检测明确授权另一方使用证书、证明商标和/或符合性证明，否则另一方不得以任何方式向第三方提出已通过东电检测的认证。

Article 8 Confidentiality

八.保密性

Each party shall treat as confidential any and all information received by the other party in the course of the performance of the services agreed upon or acquired in any other manner, the secrecy of which is known or should reasonably be recognized by the receiving party. Each party shall use such information only for the purpose of carrying out the obligations agreed upon. These obligations shall remain in force notwithstanding the termination or dissolution of the agreement(s) in question. The methods and techniques applied by DDT shall in any event be deemed to be confidential.

每一方应将在商定或以任何其他方式获得的服务过程中或从另一方收到的任何和所有信息视为机密信息，其保密性应为接收方所知或做合理识别。各方仅在履行商定义务的情况下可使用此类信息。即使有关协议终止，这些义务仍然有效。 东电检测所采用的方法和技术在任何情况下均应视为机密。

DDT shall be authorized to provide information to third parties on the basis of the applicable conditions of the relevant accreditation or designation of DDT as a certifying institution. Likewise, if the request for an assessment is aimed at certification by a third party, DDT shall be authorized to provide information to that third party.

在根据适用条件被认可或指定为认证机构的基础上，东电检测应被授权向第三方提供信息。 同样，如果是对第三方认证进行评估，则东电检测应被授权向该第三方提供信息。

The following provisions do not apply to information which

Ÿ  is or will become public without a wrongful act of the receiving party, or

Ÿ  is lawfully made available to the receiving party by a third party without the obligation of confidentiality, or

Ÿ  was demonstrably already in the receiving party’s lawful possession prior to the receipt thereof, or

Ÿ  was designated in writing as non-confidential by the Other Party, or

Ÿ  is published or disclosed to the appropriate authority by the receiving party due to a legal obligation to do so.

如下情况条款不适用：

Ÿ  接收方在没有不法行为的情况下已公开或将公开

Ÿ  由没有保密义务的第三方合法地提供给接收方

Ÿ  在收到信息之前被证明信息已属于接收方的法定所有

Ÿ  被另一方以书面形式指定为非机密信息

Ÿ  由于法律义务，接收方向相关机构披露信息。

After the termination or expiration of the agreement(s) between the parties, each party shall, without delay, return to the other party the confidential information received from that party, subject to the right of the first party to retain one copy of such documents as proof of the test and certification results and for the event that a dispute between the parties arises.

当事人之间的协议终止或到期后，各方应立即将从对方获取的机密信息返还。但第一方有权保留一份副本， 作为测试和认证结果的证据以及用于处理双方之间的争议事件。

DDT’s employees are bound to follow rules of conduct in order to guarantee the confidentiality and the independence of the assessment performed.

东电检测的员工必须遵守行为准则，以保证所执行评估的机密性和独立性。

Article 9 Subcontracting

九.分包

DDT shall be entitled to engage third parties for the performance of the activities agreed upon, but assumes the full responsibility and liability therefore, without prejudice to the provisions of Article 10.

东电检测有权让第三方参与所商定的活动，但需在不影响条款10的情况下承担全部责任和义务。

Article 10 Liability

十.责任

DDT shall only be bound towards the Other Party to pay damages that are a result of a negligent failure of DDT to carry out any of its obligations agreed upon on behalf of the Other Party or as a result of a wrongful act of DDT, only if and insofar this is set forth in the provisions of these General Terms and Conditions.

根据该一般条款与条件，东电检测必须赔偿另一方由于东电检测的疏忽而未能履行商定的任何义务或东电检测的不法行为而造成的损失。

DDT’s liability for any damage intended in Article 10 shall be limited to the amount of CNY200000.

对条款10提及的的任何损失，东电检测的责任赔偿金额不高于人民币20万元。

In no event shall DDT be liable for any consequential damages, including but not limited to damages resulting from delay in the performance of the services agreed upon, loss of information of the Other Party, loss of profit, loss of sales and damage of reputation or goodwill of the Other Party or third parties.

在任何情况下，东电检测均不对任何间接损失承担责任，包括但不限于因延迟履行商定的服务而造成的损失、另一方的信息丢失、利润损失、销售损失、 另一方或第三方的声誉或善意损失。

Any liability for damages on the part of DDT shall lapse if the Other Party has not informed DDT in writing of the damages within thirty days after the date the damages were discovered or reasonably should have been discovered. DDT’s liability shall lapse in any case if the Other Party has not initiated legal action for the recovery of the damages within two years after the date of the performance of the services which caused the damage.

如果另一方未在发现损失或合理情况下的损失应在被发现之日起三十天内以书面形式通知东电检测，东电检测的任何损失赔偿责任将失效。 任何情况下，只要另一方在执行造成损失的服务之日起两年内未就损失赔偿提起诉讼，东电检测的责任即失效。

DDT shall not be liable for failure to fulfill any of its obligations in case the failure is caused by circumstances beyond DDT’s control (force majeure). During force majeure DDT’s obligation to fulfill its obligations shall be suspended. In the event that the performance of DDT ’s contractual obligations is made impossible by force majeure for a period longer than thirty days, each party shall be entitled to dissolve the agreement without judicial intervention and without any obligation whatsoever to compensate the damages of the Other Party.

如果失败是由东电检测控制之外的情况引起的（不可抗力），东电检测不承担任何责任。在不可抗力的情况下，东电检测暂停履行其义务。 如果因不可抗力而无法履行东电检测的合同义务超过30天，则各方均有权在没有司法干预的情况下解除协议，并且没有任何义务赔偿另一方的损失。

Article 11 Termination of the agreement

十一.合同终止

Notwithstanding the provisions stated in the foregoing articles, in the event that the Other Party fails, fails to properly or fails to timely fulfill any of its obligations towards DDT, DDT shall be entitled to suspend performance of the agreement, or to dissolve the agreement without judicial intervention, in whole or in part, without any obligation for DDT to pay damages, but without prejudice to DDT’s right to seek compensation for the detriment resulting from the Other Party’s failure and the suspension or the dissolution of the agreement. The same applies if DDT fears that the Other Party will fail to fulfill its obligations and the Other Party does not provide adequate security for such fulfillment upon DDT’s first request to do so. In those instances all accounts receivable by DDT from the Other Party will become payable forthwith.

尽管有上述条款中的规定，但如果另一方未能恰当、及时履行其对东电检测的任何义务，东电检测有权暂停履行协议或在没有司法干预、没有任何赔偿损失义务的情况下解除协议，但不妨碍东电检测依照权利对由另一方的过失以及协议的中止或解除造成的损失要求赔偿。如果东电检测担心另一方无法履行其义务，并且另一方未能按照东电检测首次的要求提供足够的义务履行担保，以上条款同样适用。在以上情况下，另一方应立即向东电检测支付所有需付账款。

In the event of the Other Party’s bankruptcy, suspension of payment, or liquidation, if the Other Party is placed under a trustee or administrator or under any other form of legal restraint, the Other Party will be deemed to be in default by operation of law; this will give DDT the right, without formal notice of default and without judicial intervention, to dissolve the Agreement in whole or in part on the same conditions as stated above.

在另一方破产、暂停支付或清算的情况下，如果另一方置于受托人、管理人或任何其他形式下的法律约束之下，另一方依法被视为违约; 在以上情况中，东电检测有权在没有收到正式违约通知和没有司法干预的情况下，在上述相同条件下解除合同。

If the Other Party is fully responsible for the grounds of termination, the Other Party shall reimburse the expenses which have been incurred up until termination of the Services as a direct result of the quotations/orders, including the costs resulting from the DDT’s commitments which can not been undone.

如果另一方对合同终止负全部责任，另一方应偿还报价单/订单上的服务终止前所产生的费用，包括东电检测承诺产生的无法撤消的费用。

Article 12 Disputes and applicable law

十二.争议和适用法律

Any disputes resulting from or connected with the execution of an agreement governed by these General Terms and Conditions shall, unless agreement is made to the contrary, be brought for settlement solely before the competent court in Dongguan, China, notwithstanding DDT’s right to refer the dispute to another court which would be competent without this provision.

在执行受本通用条款和条件约束的协议过程中所产生或与之相关的任何争议，除非另有协议，否则只能在中国东莞市的主管法院提起和解，尽管东电检测有权脱离更换其他有资格的法院。

The conclusion and execution of the agreements governed by these General Terms and Conditions shall be governed by the laws of People’s Republic of China, unless agreement is made to the contrary.

本一般条款和条件所约束的协议的签订和执行应受中华人民共和国法律管辖，除非另有协议。

IN THE EVENT THAT THE OTHER PARTY AND DDT ENTER INTO A ERTIFICATION AGREEMENT，THE FOLLOWING TERMS AND CONDITIONS SHALL ALSO APPLY (these terms and conditions do not apply in case of certification by third parties)

如果另一方与东电检测签订了认证协议，则以下条款和条件也适用（以下条款和条件不适用于第三方认证）

Article 13 Publicity and publications

十三. 公开与公告

DDT shall be entitled to publish the issuance or withdrawal (if any) of the certificate or attestation of conformity.

东电检测有权公布证书或合格证明的签发或撤回（如果有的话）。

The Other Party has no right to use DDT’s name for any other purpose than in connection with the certification by DDY, without DDT’s prior consent in writing to do so. The Other Party shall make use of the certificates and/ or attestations of conformity submitted by DDT without detriment to the good name and reputation of DDT. Any and all publications must be made in such manner that no wrong suggestion is made with respect to the field of use or the location for which the certification applies or with respect to the applicable standards or requirements. In case of certification of a management system or process only, the affixing of certification marks or other signs on the products is not permitted.

如果没有东电检测事先书面同意，另一方无权利用东电检测的名义进行除了和东电检测有关的任何其他目的。另一方应在不会损害东电检测的良好声誉的前提下使用东电检测提供的证书和/或合格证明。任何和所有信息公开都必须以这样的方式进行，即对使用领域、认证所适用地点、适用标准或要求没有错误的意见。如果仅对管理体系或过程进行认证，则不允许在产品上粘贴认证标志或其他标志。

In the event that – in the opinion of DDT– the Other Party has released false or incorrect announcements or publications, the Other Party shall be obliged to rectify the same, if requested to do so by DDT, and to do so without delay and to DDT’s satisfaction.

在另一方发布了虚假或不正确的声明或公告的情况下，（判断标准以东电检测的观点为准），如果东电检测有要求，另一方有义务即刻对其进行纠正，直到东电检测满意为止。

Article 14 Compliance with rules and regulations

十四. 遵守规则和条例

If it proves that the marketed product does not correspond with the type assessed by DDT, DDT shall, be entitled to require the Other Party to:

如果证明另一方所销售的产品与东电检测认证评估的产品类型不符，有权要求另一方：

remove or arrange for the removal of the product from sale and refrain from or prevent the sale of remaining stocks, and/or

撤走销售中的产品并禁止剩余库存的销售，和/或

warn the public about the product, and/or

提醒公众出现问题的产品，和/或

recall or arrange for the recall of products (via the distribution channels) already sold to the public, and to do so in accordance with such instructions as DDT may give and such requirements as DDT may make concerning the activities in question.

按照东电检测提供的指示和对相关问题事件的要求召回已经销售给公众的产品（通过分销渠道）。

In case of product certification, the Other Party shall affix the marks and/or signs on the products in question in a visible, legible and indelible form and in accordance with the requirements stated in the law or laid down by DDT. The Other Party shall not suggest to third parties that DDT is responsible for the operations of the Other Party. The Other Party shall not make use of any marks or signs which may be confused with the certification marks and/or other signs covered by the certification agreement.

在产品认证的情况下，另一方在有关产品上粘贴的标记和/或标志应保证清晰可见、易读、不可擦除，并遵守法律规定或东电检测规定的要求。另一方不得向第三方表示东电检测负责另一方的运营。另一方不得使用可能与认证协议所涵盖的认证标志和/或其他标志相混淆的任何标记或标志。

The Other Party shall maintain a record of all complaints and/or incidents relating to or involving products, management systems and/or processes certified by DDT, and of any action taken by the competent authorities in connection with such complaints and/or incidents, and shall immediately make this record available to DDT for perusal if asked to do so. The said record shall state how each complaint or incident was dealt with and whether corrective action was undertaken in response.

另一方应保留相关记录，包括与东电检测认证的产品、管理系统和/或过程有关或涉及的所有投诉和/或事件，以及当事部门就此类投诉和/或事件采取的任何行动。如果东电检测要求，应立即提供此记录。上述记录应包括每个投诉或事件的处理过程，以及是否采取了对应的纠正措施。

Article 15 Disputes and complaints

十五. 纠纷与投诉

Any complaint that the Other Party may have regarding the services rendered by DDT shall be dealt with by DDT in accordance with the applicable procedure.

任何涉及东电检测提供的服务的投诉，应由东电检测按照适用程序处理。

In the event that DDT receives complaints pertaining to products it has certified, DDT will investigate the accuracy of such complaints. The complainant as well as the Other Party shall be heard and the results of the investigation shall be reported to them both. In the event that DDT considers the complaint well-founded, the Other Party shall take measures without delay in order to satisfy the complainant insofar as possible and to prevent a subsequent complaint.

如果东电检测收到有关其认证产品的投诉，东电检测将对此类投诉的准确性进行调查，听取投诉人和另一方的意见，并向他们报告调查结果。一旦东电检测发现投诉有充分根据，另一方应立即采取措施，尽可能满足投诉人的要求，以防止后续的投诉。

Article 16 Indemnification

十六. 赔偿

The Other Party shall indemnify and hold DDT harmless against any and all claims to recover damages resulting from products certified by DDT and introduced onto the market by the Other Party, or resulting from the use of such products.

因经东电检测认证并由另一方引入市场的产品，或因使用此类产品而造成的损害，另一方应保证东电检测不受任何和所有索赔的损害。

Article 17 Term and termination of the certification agreement

十七. 认证协议的期限与终止

Unless agreement is made to the contrary, the term of the certification agreement shall be indefinite.

除非另有协议，否则认证协议的期限为无限期。

In case of a limited period of validity of the certificate(s) in question, each party shall have the right to give notice to terminate the certification agreement as of the date of the expiration of the current validity period of the certificate.

如果商定的证书有效期有限制，各方有权在截至证书到期之日发出终止认证协议的通知。

In the event that the certificate(s) in question do(es) not have a limited period of validity, each party may terminate the agreement with respect to each certificate subject to three months’ notice.

如果相关证书的有效期不是有限的，则每一方可以在提前三个月通知的情况下就各个证书终止相关协议。

The certification agreement shall in any event expire with respect to each certificate in the event that the applicable statutory provisions and/or regulations expire or are altered in such manner that the certified products, management systems, processes or persons no longer comply therewith.

如果适用的法律和/或法规失效或由于与认证产品、管理系统、流程或人员不符而变更，则各个证书相关的认证协议在任何情况下均失效。
